These Terms of Service ("Terms") govern your access to and use of the website bcev.net (the "Website") and the business consulting and management advisory services offered through it (the "Services"), each provided by BCE Ventures LLC, a Wyoming limited liability company ("BCE Ventures", "we", "our", or "us").

By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

1. Eligibility

You may use the Website only if you are at least 18 years old and have the legal capacity to enter into binding agreements in your jurisdiction. By using the Website, you represent and warrant that (a) you meet these eligibility requirements, (b) you are not barred from using the Website under applicable law, and (c) you are not located in, under the control of, or a national or resident of any country or region subject to U.S. government economic sanctions or export restrictions.

2. The Website and the Services

The Website is an informational presence describing BCE Ventures and enabling prospective clients to contact us. BCE Ventures provides business consulting and management advisory services to entrepreneurs, operators, and small businesses.

Information on the Website is provided for general informational purposes only. It does not create an advisory relationship and is not a substitute for tailored advice provided under a written engagement agreement.

3. Inquiries do not create an engagement

Submitting the contact form, exchanging emails, or holding introductory calls does not by itself create an advisory engagement, a consulting relationship, or any obligation on BCE Ventures to provide Services. An engagement is created only when both parties sign a written engagement letter or master services agreement (an "Engagement Agreement").

4. Engagement Agreements

Each Engagement Agreement will set out the specific scope of work, fees, payment terms, timing, deliverables, confidentiality, ownership of work product, warranties, limitations, and any other terms applicable to the engagement. In the event of any conflict between an Engagement Agreement and these Terms with respect to the Services, the Engagement Agreement controls.

5. Fees and payment

The Website is provided to you free of charge. Fees for Services are quoted and agreed in the Engagement Agreement and may be structured as fixed-fee, retainer, milestone-based, or time-based amounts. Unless the Engagement Agreement provides otherwise, invoices are payable in U.S. dollars within fourteen (14) calendar days of the invoice date, and late amounts may accrue interest at the lesser of 1.0% per month or the maximum rate permitted by law.

6. Refunds

Refunds for fees paid under an Engagement Agreement are addressed in our Refund Policy, which is incorporated into these Terms by reference.

7. Acceptable use

You agree not to:

  • Use the Website for any unlawful, fraudulent, deceptive, or harmful purpose;
  • Submit false, misleading, or third-party personal information through the contact form without proper authority;
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Website, its servers, or any connected systems;
  • Probe, scan, or test the vulnerability of the Website or breach any security or authentication measures;
  • Use the Website to transmit any malware, viruses, worms, or other malicious code;
  • Use automated means (bots, scrapers, crawlers) to access the Website in a manner that places unreasonable load on our infrastructure, except for well-behaved indexing by reputable search engines in accordance with our robots.txt;
  • Reverse engineer, copy, modify, or create derivative works of the Website or its content, except as expressly permitted.

8. User submissions

You are responsible for any content you submit through the contact form or other communication channels. You represent that you have the right to provide such content and that it does not infringe any third-party right or violate any law. You grant BCE Ventures a non-exclusive, worldwide, royalty-free license to use, store, and process your submissions solely for the purposes of responding to your inquiry and (where applicable) delivering the Services.

9. Intellectual property

The Website and all content on it - including text, layout, design, graphics, logos, code, and the BCE Ventures name and marks - are owned by BCE Ventures LLC or its licensors and are protected by U.S. and international copyright, trademark, and other intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Website for your personal or internal business purposes. Any other use requires our prior written permission.

10. Third-party services

The Website is hosted on Vercel (Vercel Inc.) and uses Resend (Resend.com) for transactional email delivery. Your interaction with these services is also governed by their respective terms and privacy policies. BCE Ventures is not responsible for the acts or omissions of third-party services.

11. Disclaimer of warranties

THE WEBSITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BCE VENTURES DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Information on the Website is general in nature and may not be suitable for your specific situation. You should not act or refrain from acting on the basis of any information on the Website without obtaining tailored advice under an Engagement Agreement.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BCE VENTURES OR ITS MEMBERS, MANAGERS, AGENTS, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BCE VENTURES'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). Liability arising under any Engagement Agreement is limited as set forth in that agreement.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless BCE Ventures LLC and its members, managers, agents, and representatives from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Website in violation of these Terms or applicable law, (b) your submission of any false or third-party information without authority, or (c) your violation of any third-party right.

14. Termination

We may suspend or terminate your access to the Website at any time, with or without notice, for any reason, including for violation of these Terms. Sections that by their nature should survive termination will do so, including provisions on intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

15. Confidentiality of inquiries

We treat the substance of prospective-client inquiries as confidential and use the information only as described in our Privacy Policy. Formal confidentiality obligations between the parties take effect under an Engagement Agreement.

16. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect the most recent revision. If changes are material, we may provide additional notice. Your continued use of the Website after updates means you accept the revised Terms.

17. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, U.S.A., without regard to its conflict of laws principles. The exclusive venue for any dispute arising out of or related to these Terms or the Website is the state or federal courts located in Sheridan County, Wyoming, and you submit to the personal jurisdiction of those courts. Nothing in this section limits any mandatory consumer-protection rights you have in your country of residence.

18. Dispute resolution - informal first

Before initiating formal proceedings, you agree to first contact us at hello@bcev.net and attempt in good faith to resolve the dispute. If the dispute is not resolved within thirty (30) days, either party may pursue any other remedy available under these Terms or applicable law.

19. International users and consumer rights

The Website is operated from the United States. If you access the Website from outside the United States, you are responsible for compliance with your local laws. Where applicable consumer-protection law grants you rights that cannot be waived by contract, those rights continue to apply notwithstanding anything in these Terms.

20. Miscellaneous

These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy, and any applicable Engagement Agreement, constitute the entire agreement between you and BCE Ventures regarding the Website. If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party will be liable for delays or failures to perform caused by events beyond reasonable control.
